Hispanic Yellow Pages USA, LLC

1. PARTIES. By completing this advertising form, you (hereinafter "Advertiser") are making a binding contract in which Advertiser agrees to purchase an online advertising package to appear on the HispanicYellowPagesUSA.com website, owned and operated by Hispanic Yellow Pages USA, LLC, (hereinafter "Publisher") at the rate listed and for duration specified on the face of this contract, attached and incorporated herein by reference and made a part of this agreement.
   
   
2. PAYMENT.
   a. Advertiser agrees to make all payment installments on or before the date or period specified on the face of this contract. Advertiser has the option of paying the outstanding balance within 90 days of the first payment due date interest free. A monthly finance charge of 1.5% (19.56% annually) of the outstanding total will accrue and may be added to your balance after 90 days at the sole discretion of the Publisher. A $30.00 late fee will be assessed on all accounts whose payments are received after the 10th (tenth) of each month at the sole discretion of the Publisher.
   b. The Publisher reserves the right, unless waived, to require payment in advance as a condition of fulfilling the contract for advertisement.
   c. The Publisher reserves the right, unless waived, to require one or more personal guarantees as a condition of fulfilling the contract for advertisement.
   d. Should Advertiser default in the payment of any installment when due, the Publisher may, at its option, declare the entire balance immediately due and payable.
   e. Should Advertiser default in the payment of any installment when due, the Advertiser agrees to pay all late fees, interest charges, collection costs (including those incurred by outside collection agencies contracted by the Publisher for the collections of unpaid account balances), court costs, attorney's fees and any other fees associated with the collection of this account.
   f. Should Advertiser default in the payment of any installment when due, the Publisher may, at is option, remove the advertisement from HispanicYellowPagesUSA.com and to seek payment of the balance due.
   g. The Advertiser shall remain liable for any outstanding balance on Advertiser's account upon Advertiser's business entity being closed or dissolved, in whole or in part.
   
   
3. CANCELLATION. All cancellations must be received in writing within ten (10) days of the order date of the Advertiser's ad request. No refunds will be given for advertisement orders which are cancelled after the ten day cancellation period. An advertisement credit to be used within one (1) year of your original order date may be issued at the sole discretion of the Publisher. Failure to use said credit before the expiration date constitutes forfeiture of the credit in its entirety.
   
   
4. DURATION/SCOPE. The advertising order on this agreement is for the specified contract period only. Any additional period of time in which your advertisement might appear on the HispanicYellowPagesUSA.com website does not constitute an alteration or extension of the contract. The contract may be extended by mutual agreement of the parties. The Advertiser agrees to review and agree to the extended contract terms and conditions which appear on the HispanicYellowPagesUSA.com website under Terms and Conditions within the ten (10) day cancellation period.
   
   
5. COPYRIGHT. Advertiser fully acknowledges that any advertisement design, logo, or artwork developed by the Publisher, is the sole property of the Publisher, and may be reproduced, in part or in whole, by the Publisher for any purpose, including but not limited to the sale and use of such designs to or by other companies including those which Advertiser may be in direct competition with. Advertiser acknowledges that Advertiser will have no rights to the advertisement design, logo, or artwork, and that Advertiser may not reproduce, or permit others to reproduce on Advertiser's behalf, the advertisement design, logo, or artwork, in part or in whole, without the express written consent of the Publisher. The Advertiser may purchase, at the discretion of Hispanic Yellow Pages USA, LLC, the right to ownership and/or unlimited use of any advertisement design, logo, or artwork developed by the Publisher, for a fee to be determined by the Publisher, and that such transfer of ownership will not cause change, neither now nor in the future, to any existing advertisements of other clients of the Publisher whose advertisements reflect or resemble, in part or in whole, the advertisement design, logo, or artwork purchased by the Advertiser herein.
   
   
6. POSITIONING. Except as otherwise expressly provided on the Advertisement Form, positioning of the advertisements on HispanicYellowPagesUSA.com is at the sole discretion of the Publisher.
   
   
7. RIGHT OF REFUSAL. The Advertiser understands and acknowledges that the Publisher reserves the right to refuse any advertisement, or changes requested thereto that are not in conformance with the Publisher's policies. Any and all information provided by Advertiser to Publisher for inclusion in the advertisement on HispanicYellowPagesUSA.com, including any changes, must be approved by the Publisher and may be modified by the Publisher, in whole or in part, in order to maintain and reflect the standards of the Publisher, and in order to abide by all local, state, federal and international laws. At its discretion, the Publisher reserves the right to reject or discontinue any advertisement for any reason the Publisher may deem necessary.
   
   
8. APPROVAL AND CHANGES. The Publisher will provide the Advertiser with a proof of the advertisement, as it will appear on HispanicYellowPagesUSA.com, for approval. If approved, the Advertiser shall initial and sign and return the proof to Publisher. Should the proof require changes, the Advertiser is responsible for notifying the Publisher, in writing, of all requested changes to the advertisement. All changes must be approved by the Publisher and may be amended by the Publisher in whole or in part in order to reflect and maintain the standards of the Publisher and to abide by any local, national and international laws. The Publisher will provide the Advertiser with additional proofs, as needed. All proofs must be initialed and signed before finalization of the advertisement. The Publisher reserves the right to make any and all changes in category headings which, in its judgment, will best serve the purpose of HispanicYellowPagesUSA.com.
   
   
9. ASSIGNMENT. Advertiser may not assign Advertiser's rights under this contract, in whole or in part, without written consent of the Publisher. Any assignment of this contract without express written consent of the Publisher shall be null and void. The Advertiser shall remain liable for any outstanding balance on Advertiser's account upon Advertiser's business entity being sold or transferred in whole or in part, to any other individual, group or organization (hereinafter "Assuming Party") unless Advertiser provides to the Publisher, in writing, notice of assumption of all liabilities and balances owed by Advertiser. Said notice of assumption must include the full name, address and two (2) valid phone numbers of the Assuming Party, and must be signed by the Advertiser and Assuming Party within thirty (30) days of the assumption date. The Publisher reserves to within thirty (30) days of such notice to reject the assumption agreement, for any reason whatever, and to continue to hold Advertiser fully and completely responsible for the contract.
   
   
10. TRUTH IN ADVERTISING. Advertiser acknowledges, under penalty of law, that Advertiser abides by all local, state, federal, and international laws and are fully authorized by any and all concerned governing bodies and/or agencies, to engage in the business or profession described by the classification(s) and/or designation(s) on Advertisement Form, and that Advertiser is authorized to use any designs, logos, artwork, trademarks, or trade names supplied by the Advertiser or Advertiser's agent to the Publisher, which may appear in the advertisement contracted to herein.
    
    
11. INDEMIFICATION. Advertiser acknowledges that Advertiser shall be held solely liable for any legal liability arising out of or related to the advertisement and or material furnished to the Publisher to be used in the advertisement, including any copyright or trademark infringement alleged as the result of the Publisher using, implementing, or modifying any design, logo, or artwork, supplied by the Advertiser for use in advertisement on HispanicYellowPagesUSA.com. Advertiser agrees to indemnify the Publisher and to hold the Publisher harmless from any and all liability, loss, damages, claims, or causes of action, including attorneys' fees and litigation costs and expenses that may be incurred by the Publisher, arising out of or related to Advertiser's breach of any of the representations and warranties set forth in this contract.
    
    
12. The publisher reserves the right to amend and alter this agreement at any time as long as it provides written notification by U.S. mail, to the Advertiser, at the address set forth on the face of this agreement as provided by the Advertiser, and by posting such amendments on our website, www.HispanicYellowPagesUSA.com.
    
    
13. The Advertiser acknowledges that all sites leased from the Publisher and the primary domains of those sites leased by the Publisher are the sole property of the Publisher. All payments for the specified lease period do not guarantee that the site lease will be approved for renewal by the Publisher. At the sole discretion of the Publisher, HispanicYellowPagesUSA.com and other domain names may be changed with written notice to the Advertiser, provided that the new domain sites utilize and render substantially the same advertising as contracted for.
    
    
14. The Advertiser agrees to pay any and all fees charged by the Publisher related to the registration, maintenance, transfer, and hosting of any primary or secondary domain name purchased or leased on Advertiser's behalf by the Publisher.
    
15. The Advertiser acknowledges and accepts that upon renewal of the Advertiser's contract, the Publisher reserves the right, unless waived, to increase the cost of Advertiser's website lease at a rate of 3% per contract period.
    
    
16. The website and advertising content herein is accessible via the world wide web and the publisher is not liable for further use or misuse of content obtained by those other than the Publisher, by virtue of access to HispanicYellowPagesUSA.com
    
    
17. LIMITATION ON LIABILITY. The Advertiser assumes all liability for any fines and litigation, and all the costs thereof, including attorneys' fees, which may occur or be levied against the Advertiser or the Publisher as a result of your advertisement appearing on HispanicYellowPagesUSA.com even if the advertisement is approved by the Publisher. The Publisher is not to be held liable for any information provided to the Publisher and used in the advertisement on HispanicYellowPagesUSA.com which may be accessed by site visitors, or search engines. Advertiser understands and agrees that there is no implied or express promise, offer, or representation herein of any number or amount of monetary amount of business or contacts or inquiries that the Advertiser may receive as a result of this agreement.
    
    
18. SEVERABILITY. The laws of the State of Connecticut shall govern the construction of this Agreement and the rights and duties of the parties under it. If any provision of this Agreement or the application thereof to anyone or any circumstance shall be adjudged invalid or unenforceable to any extent, the application of the remainder of the provision to the party or circumstance, the application of the provision to other parties or circumstances, and the application of the remainder of this Agreement shall not be affected thereby. Each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. The Parties explicitly acknowledge and agree that the provisions of this agreement are both reasonable and enforceable. However, if any portion or provision of this agreement (including, without implication of limitation, any portion or provision of any section of this agreement) is determined to be illegal, invalid, or unenforceable by any court or competent jurisdiction and cannot be modified to be legal, valid, or enforceable, the remainder of this agreement shall not be affected by such determination and shall be valid and enforceable to the fullest extent permitted by law, and said illegal, invalid, or unenforceable portion or provision shall be deemed not to be a part of this AGREEMENT.
    
    
19. DISPUTE RESOLUTION. The parties will attempt in good faith to resolve promptly through negotiation any claim or controversy arising out of or relating to this Contract before resorting to litigation.
    
    
20. MAINTENANCE OF EFFORT. The Publisher shall make every effort to keep HispanicYellowPagesUSA.com running, however, the Publisher shall not be held liable for, any temporary unavailability of access due to technical issues, including any reimbursement for fees paid or alleged loss of the Advertiser.
    
    
21. ENTIRE AGREEMENT. This agreement and any attachments thereto are the complete and exclusive agreement between the Advertiser and the Publisher, superseding and replacing any and all prior agreements, communications, and understandings, both oral and written. The Advertiser acknowledges that the Publisher makes no commitment to the Advertiser, verbal or otherwise, other than that which is set forth herein. The Advertiser acknowledges that the Publisher had not made any guarantees with respect to usage statistics or levels for any advertisement and that the Publisher shall not be held liable for any claims related to said usage statistics. The terms and conditions of this agreement will prevail over any contrary or inconsistent terms in the Agreement Form. Any modifications to this agreement must be in writing and executed by both the Advertiser and the Publisher. The Publisher makes no guarantee of results or calls. Any discussions prior to the signing of this agreement, with respect to breadth of coverage of internet sources or print sources, have been for descriptive purposes only and do not represent any commitments, promises, or assertions of the number, amount, or value of any responses that the Advertiser may receive as a result of such advertising.
